    Micheal Essien to sell 2 of his house worth $20m to clear bank debt

    Court documents related to the Accra High Court’s order to confiscate two mansions owned by Ghanaian football legend Michael Essien have emerged online.

    A report from GH Gossip 24 disclosed that the Accra High Court ruled on Michael Essien’s case after Republic Bank filed a lawsuit against the former footballer, his wife Akosua Puni Essien, and Athena Real Estate Company on September 23, 2020.

    Republic Bank sought a court order to seize and sell Essien’s two mansions.

    The court documents revealed that Essien, his wife, and Athena Real Estate requested an out-of-court settlement on October 28, 2020, which Republic Bank accepted.

    The documents showed that Essien owed the bank $2,164,345. The debt increased to $2,310,343 due to accrued interest before their next meeting on December 31, 2021.

    During this meeting, both parties agreed that Essien would also cover the bank’s legal expenses, surveyors’ fees, and additional costs for recovering the houses.

    Republic Bank agreed to allow Essien to find a buyer for one of the properties, valued at $20 million.

    They agreed not to sell the mansions below their estimated value, with a 20% reduction if not sold within six months.

    If the properties remained unsold in 12 months, the parties would return to court. Republic Bank was granted access to the properties as per the agreement.

    The agreement stated that Republic Bank would waive any accrued interest but would charge legal fees and deduct costs from the sale proceeds.

    Both parties signed and submitted the agreement to the court. However, disagreements over the sale process and property access led to the court ordering the sale of Essien’s mansions.

    Nana Bonsu Kyeretwie, LilWin’s legal representative, stressed that their future actions hinge on the advice provided by the Attorney General’s Office.

    “The prosecution must prove its case for us to have a case to answer before we can rebut any doubt that the police have created in this matter but for now, we cannot speak to anything, We are only waiting for the Attorney General’s advice in accordance with his mandate,” he told the media.

    The case has been adjourned to July 29, 2024.

    Manufacturers of cement products face the possibility of up to three years’ imprisonment for violating specific provisions outlined in the proposed Legislative Instrument (L.I.) spearheaded by Trade Minister K.T. Hammond.

    The stringent penalty is outlined in the draft document that the Trade Minister intends to introduce to Parliament, as reported by JoyNews.

    Trade Minister K.T. Hammond defends his decision to present the instrument to Parliament, underscoring that extensive consultations with stakeholders have informed its formulation.

    Executive Secretary of the Cement Manufacturers Association of Ghana (CMAG), Rev. Dr. George Dawson-Ahmoah, criticized the Minister’s strategy to lower prices, likening it to a case of misplaced priorities.

    He pointed out that manufacturers were not consulted prior to the proposal, leaving them unaware of the specifics outlined in the draft document.

    “We don’t know anything about it. And with my common knowledge in legislative instruments, don’t you involve stakeholders before it gets to Parliament? Don’t you involve stakeholders in the process?” he quizzed on Tuesday.

    However, addressing journalists today, K.T. Hammond emphasized that cement prices have been steadily rising, necessitating action.

    He stressed that the Legislative Instrument (L.I.) is essential to prevent a cartel of cement manufacturers from exploiting the public.

    “At a point in time, we are not producing so much cement in the country. Now we have an installed capacity of over 11 million tons in the country. Our demand is nothing like 11 million, so it must be a very profitable enterprise.

    “But I think it behoves those in responsible positions in authority to ensure that the good people of Ghana are not fleeced. I am not comfortable, I don’t believe that we’re getting good prizes for all that it’s worth,” he said.

    The Trade Minister asserted that there are fundamental issues with cement pricing in the country, highlighting its essential role in every sector of the economy.

    “Now I take the view that it’s about time that the country was better served by those who are selling this product to us.

    “You have a kind of arbitrariness in the pricing of cement. It’s been so haphazard, I strongly believe that there must be some sanity in the system,” K.T. Hammond said.

    Parliament approves mining agreement for Ghana Bauxite Company in Awaso

    Parliament unanimously endorsed the mining lease granted to the Ghana Bauxite Company for bauxite extraction at Awaso in the Bibiani Anhwiaso Bekwai Municipality of the Western North Region.

    This decision followed the presentation of a joint report by the Parliamentary Committees on Mines and Energy and Lands and Forestry on Wednesday, 26th June, 2024.

    The Awaso bauxite mine is integral to the government’s strategy to develop a comprehensive aluminium industry in the nation. The Ghana Integrated Aluminium Development Corporation (GIADEC), tasked with advancing this industry, has identified the mine as one of its pivotal projects.

    GIADEC is collaborating with strategic investors to expand the mine and establish a refinery to process bauxite extracted from the region.

    The Ghana Bauxite Company, operational for over eighty (80) years, stands as the sole producer of bauxite in the country, having navigated various phases since its inception in the 1940s.

    Initially owned by the British Aluminium Company Ltd, the government acquired a fifty-five percent (55%) stake in 1972 under the Mining Operations (Government Participation) Decree, 1972 (NRCD 132), aligning with the National Redemption Council’s policy of asserting control over key economic sectors.

    Subsequently, challenges emerged, with production plummeting from four hundred and seven thousand tonnes (407,000t) in 1974 to a mere sixty-four thousand tonnes (64,000t) by 1982.

    In response, the government opted to divest its stake, leading to Alcan, a Canadian firm, acquiring an eighty percent (80%) share in 1997, leaving the remaining twenty percent (20%) in government hands.

    Rio Tinto, a British-Australian multinational, later acquired Alcan’s interest before transferring it to the Bosai Minerals Group in 2010.

    However, in 2022, Ofori-Poku Company Limited (OPCL), a wholly Ghanaian-owned entity, acquired the eighty-percent stake previously held by Bosai, marking the first time in its history that the company became entirely Ghanaian-owned.

    Established in 1990, OPCL boasts extensive experience in the mining sector, providing various mining services such as haulage, transportation, and climate change solutions.

    Following the expiration of its previous lease, the company secured a new lease on 3rd May, 2024, encompassing the Kanayerebo, Subri, Nchiniso, Afumba, and Bokahirri Hills in Awaso.

    Earlier this month, Samuel A. Jinapor, MP, Minister for Lands and Natural Resources, presented the lease to Parliament for ratification under Article 268(1) of the 1992 Constitution, which was subsequently referred to the Joint Committee on Mines and Energy and Lands and Forestry.

    Presenting the committee’s findings to Parliament, Samuel Atta Akyea, Chairman of the Mines and Energy Committee, affirmed the constitutional requirement for parliamentary oversight in managing and utilizing the nation’s natural resources.

    He underscored the lease’s alignment with constitutional provisions and national laws, emphasizing its potential to deliver substantial benefits to the government and foster socio-economic progress in the area.

    The committee expressed satisfaction with the company’s financial and technical capabilities to fulfill its obligations under the lease, thus endorsing its ratification.

    Members of Parliament commended the Minister for Lands and Natural Resources for bringing the lease for ratification, noting past lapses in adhering to the constitutional requirement for parliamentary ratification of mining leases since 1992.

    They applauded the government for securing Ghanaian investment in this critical mine, ensuring its complete ownership by Ghanaians. Members also praised the inclusion of plans for a refinery in the agreement, aimed at adding value to the mined minerals.

    They expressed optimism that these measures would benefit all Ghanaians.

    In response, Minister Samuel A. Jinapor thanked Parliament and the committee members for their diligence and unanimous support in ratifying the mining lease.

    He affirmed the government’s commitment to promoting Ghanaian participation across the entire mining value chain, emphasizing its goal of indigenizing the mining sector.

    The ratification of the mining lease grants the company full operational rights, securing jobs for hundreds dependent on the mine and contributing to the socio-economic advancement of the community and the nation at large.

    Supreme Court supports BoG’s license revocation of UniCredit

    The Supreme Court, in a unanimous decision, overturned the Court of Appeal’s ruling and upheld the High Court’s decision in the case involving The Republic versus the Bank of Ghana (BoG), Ex Parte Hoda Holdings Limited.

    In its ruling, the Supreme Court affirmed that the Bank of Ghana was justified in revoking the license of UniCredit Ghana Limited.

    Chief Justice Araba Esaaba Sackey Torkornoo presided over the five-member panel, which also included Justices Mariama Owusu, Prof. Henrietta Joy Abena Nyarko Mensa-Bonsu, Ernest Yao Gaewu, and Yaw Darko Asare. The ruling was issued on June 26, 2024.

    Background

    On August 16, 2019, the Bank of Ghana declared UniCredit Ghana (UniCredit) bankrupt and annulled its license to operate as a savings and loans company.

    The Bank of Ghana justified its actions under section 123 of the Banks and Specialised Deposit Taking Institutions Act of 2016 (Act 930).

    Following this decision, HODA Holdings Limited, the majority shareholder of UniCredit, filed an application at the Human Rights Division of the High Court. Their application sought judicial review of the Bank of Ghana’s decision to annul UniCredit’s license and requested an injunction to prevent the Bank from interfering with UniCredit’s operations.

    On March 18, 2021, Justice Gifty Agyei Addo’s High Court ruling favored the Bank of Ghana, affirming that UniCredit was financially distressed before its license was terminated.

    The court also determined that contrary to UniCredit’s assertion of being denied a hearing, the Bank of Ghana had issued numerous notices to UniCredit.

    “Directing it to rectify its capital deficiency failing which the Bank of Ghana would exercise its powers under s.123 of Act 930.”

    The Court also affirmed that the Bank of Ghana acted correctly in revoking UniCredit’s license.

    It upheld that the Bank of Ghana’s actions to revoke UniCredit’s license and place it under receivership were in accordance with Act 930.

    Appeal of the case by HODA Holdings

    Hoda Holdings Ltd lodged an appeal with the Court of Appeal in response to the High Court’s decision.

    On July 7, 2022, the Court of Appeal, composed of Justice Janapare A. Bartels-Kodwo, Justice Merley Wood, and Justice G.S. Suurbaareh, overturned the High Court’s ruling and sided with Hoda Holdings Ltd.

    The Court of Appeal determined that the Bank of Ghana’s revocation of UniCredit’s license under section 123 of Act 930 should have adhered to the procedures outlined in section 16(3&4) of the same Act. It also found that the Bank of Ghana’s failure to comply with these procedures meant that UniCredit was not afforded a hearing before its license was revoked.

    BoG’s Appeal to the Supreme Court 

    The Bank of Ghana, which had some concerns with the decision of the Court of Appeal, also filed an appeal at the Supreme Court against the decision of the Court of Appeal. This has resulted in the new ruling by the highest court of the land on this particular case.

    As much of Africa watches Kenya grapple with a series of protests over an intended finance bill, one prevalent feature in Ghanaian protests stands out: music.

    A glance through videos of major protests in Ghana over the past few years reveals a recurring spectacle: trucks loaded with loudspeakers blaring music, delighting the protesters. This leads to an intriguing question: is music during protests necessary?

    While there is a case for the relevance of music in political and national discourse and the contributions of the creative arts to political climates, let’s focus on the use of music specifically during protests.

    Music is essential for setting the mood of social gatherings. It can inspire individuals at the gathering to take action or to relax. Protests, inherently about action, involve groups of concerned individuals airing their grievances to those in authority.

    Merging these two elements—protests and music—can create a powerful dynamic. Throughout history, various songs have become protest anthems, with protesters chanting slogans and singing revolutionary songs. So, bringing speakers to protests might seem like a no-brainer. In Ghana, it’s a common practice. However, the music played is not typically protest anthems but rather ‘feel-good’ party music designed to make people dance and put them in a good mood.

    This choice of music can be counterproductive. Instead of stoking the fire within the protesters, it often ends up tickling their legs, making the protest feel more like a party. This may reflect a broader issue with how protests in Ghana are organized.

    Consider some major protests in Ghana, like #KumiPreko Reloaded, #OccupyJulorBiHouse, #DumsorMustStop, and #HandsofourHotels. They often felt performative. What’s the point of a protest if it looks more like a fanfare? Where are the long chants, the angry faces ready to defy authority, and the people prepared to invade government seats? Instead, we see painted faces, branded T-shirts, well-designed placards, and happy music, making the protests resemble street carnivals more than serious demonstrations.

    This approach might be why these protests haven’t elicited significant responses from the government. As one protester at the #OccupyJulorBiHouse demonstration in 2023 remarked, “For me, it made it fun. But generally, it gave it a vibe of a young people hangout because the songs were not particularly thematic. They could have been war songs, songs about revolution, about black struggle, about unity, etc. But the songs were all about and not particularly thematic.”

    This doesn’t mean music at protests is inherently bad, but maybe playing a Fela or Bob Marley song would have a better effect than playing a Kuami Eugene song. Or perhaps it’s better to forgo the speakers altogether, letting those in authority feel the heat, energy, and tension in the air.

    Looking at various protests worldwide, such as the Arab Spring protests in 2011, the Black Lives Matter protests in 2020, the End SARS protests in 2020, the Hijab protests in Iran in 2024, and the recent Kenya protests in 2024, we see that these were not well-planned, smooth-sailing events. They exposed the sentiments and frustrations of the masses without involving content creators dancing in the rain.

    The meeting was held at the Union office of GTPCWU with the aim of addressing various pressing issues affecting workers under the Union’s jurisdiction.

    GTPCWU represents employees across multiple sectors, including transport, petroleum, and chemical industries, covering both junior and senior staff, as well as professional and managerial personnel throughout Ghana.

    The workers under the Union’s jurisdiction come from a wide range of industries, establishments, companies, and firms involved in transport, including road and air transport, aviation, and automobile engineering.

    During the meeting, the Union expressed its appreciation for the Directorate’s visit and acknowledged the importance of such engagements.

    The GTPCWU lauded the NDC’s achievements in the transport and energy sectors during their previous tenure in office but voiced concerns about the current state of affairs under the incumbent government.

    One of the major grievances highlighted by the Union was the political takeover and mismanagement of the Tema Oil Refinery (TOR). The Union stressed that TOR should not be left in the hands of selfish individuals and lamented its deterioration over the past years. They urged that the next NDC government should prioritize fixing these issues.

    The poor state of state-owned buses and the managerial challenges at the State Transport Company (STC) were also discussed. The Union criticized the condition of the buses, deeming many unfit for the roads, and highlighted how individuals and party operatives have taken over STC, leading to managerial inefficiencies.

    Further concerns were raised regarding the current state of the Driver and Vehicle Licensing Authority (DVLA), the Petroleum Commission, the National Petroleum Authority (NPA), and the National Road Safety Authority. The Union emphasized the need for improvements in these critical areas to enhance efficiency and safety.

    Dr. Otokunor, in response, expressed gratitude for the Union’s candid input and assured them that their concerns would be incorporated into the NDC’s manifesto. He reiterated former President John Mahama’s commitment to continuous engagement with the Union, even after the elections, to ensure the implementation of the manifesto’s promises.

    “Nana Kobo then bought a car for Yaw and Tiwaa to use for concerts, but the children gave it to their mother, who used it for funerals and errands, leaving them to use taxis for hospital visits,” he explained.

    Prophet J.Y. Adu clarified that Yaw Sarpong is under his care because his illness is believed to be spiritual rather than medical, with doctors unable to successfully treat the condition.

    The Minority is amplifying its demands for an audit of the expenses linked to the 2023 Africa Games, which Ghana hosted earlier this year.

    This move comes in response to Youth and Sports Minister Mustapha Ussif’s acclaim of the games’ success without offering a comprehensive financial report.

    Members of the Minority in Parliament, such as North Tongu MP Samuel Okudzeto Ablakwa and Minority Leader Dr. Cassiel Ato Forson, have criticized the Minister for his failure to disclose the utilization of public funds.

    Mr. Ablakwa stated that there hasn’t been a breakdown of the money’s usage, even though expenditures surpassed the approved budget.

    “Why can’t we be told? Already we have raised concerns about the huge expenditure way beyond what this house approved. We know that $195 million was spent on infrastructure. We intercepted documents that revealed that they had budgeted to spend $48 million on so-called operational expenses.

    “We have not less than 245 million US dollars for this whole hosting of events and committed close to $195 million for infrastructure development,” he said.

    Minority leader, Cassiel Ato Forson said, “We know for sure $15 million was allocated to a company called M and L Company Limited for 18 days of feeding.”

    “That amounts to 226 million cedis for 18 days. You cannot come here and deliver a statement without accounting for $15 million for 18 days. This is public money.”

    Former Majority Leader Osei Kyei-Mensah-Bonsu emphasized that the constitution stipulates that accounting for public fund usage necessitates time.

    “What it means that after the event, you cannot say that within two weeks or three weeks, the minister should be able to come before this house and explain everything. The minority leader fortunately is an accountant and he understands these things.”

    Yet, Majority Leader Alexander Afenyo-Markin argued that the Minority Leader’s call for an audit at this juncture is unwarranted.

    “They have finished their work. Instead of commending the minister for a good job that you want to use the opportunity to critique and say things that are not factual.”

    In the meantime, the Minister of Youth and Sports has pledged to provide a detailed financial account of all expenses incurred during the games.

    “We are not hiding anything. I want that clarity to be made. Every cedi is going to be accounted for. Be rest assured. Rather you should congratulate team Ghana, because so far we have not seen the minority issue any statement in congratulating the sportsmen and women who fought very hard in lifting the flag of the country very high. Neither did the leadership of the majority or even the ranking member or even the committee for the sports.”

    President Nana Addo Dankwa Akufo-Addo has announced that many of the country’s stalled projects will soon resume following successful debt restructuring negotiations.

    During the presentation of credentials to nine newly appointed diplomats at the Jubilee House, the President elaborated on the positive outcomes of these negotiations and their impact on Ghana’s development.

    The President highlighted the completion of three key debt restructuring initiatives: domestic debt restructuring, external bilateral debt restructuring, and commercial bondholders debt restructuring.

    These measures have offered significant financial relief, paving the way for renewed attention to crucial infrastructure and development projects.

    “These agreements have provided much-needed breathing space and put our domestic debt-to-GDP ratio on a clear downward trend,” President Akufo-Addo said.

    “The successful negotiations mean that bondholders will provide US$4.4 billion in cash flow relief during the IMF programme, in addition to the cancellation of US$4.7 billion of the debt stock.”

    The president emphasized the importance of domestic debt restructuring, which saw a high participation rate of nearly 95%.

    Coupon rates were significantly lowered from 21% to an average of 9%, and maturities were extended, alleviating the immediate local debt service burden that previously accounted for over 40% of the country’s tax revenues.

    This restructuring initiative has set the domestic debt-to-GDP ratio on a trajectory to reach 55% by the end of 2028. Additionally, the restructuring of external bilateral debt has been a pivotal step in Ghana’s economic recovery.

    The agreement with bilateral creditors, coordinated by the Ghana Official Creditor Committee (OCC) and co-chaired by France and China, led to the restructuring of US$5.1 billion of Ghana’s debts.

    This deal is anticipated to provide cash flow relief of around US$2.8 billion, or GHC39 billion, in deferred debt service between 2023 and 2026, to be repaid later at a lower interest rate.

    “The Agreement with our Bilateral Debt Holders will lead to a cash flow relief of around US$2.8 billion or GHC39 billion in debt service,” President Akufo-Addo stated. “This will enable us to resume and complete many projects that are vital for our nation’s progress.”

    The successful negotiations have also set the stage for the IMF’s Executive Board to meet and approve Ghana’s Second Review of the Fund Programme, leading to an additional disbursement of US$360 million to support the initiative. This funding will further enhance Ghana’s efforts to rejuvenate its economy and expedite development projects.

    A key milestone in the debt restructuring process is the agreement with commercial bondholders. The restructuring of US$13.1 billion in debts resulted in substantial savings for the government, including the elimination of US$4.7 billion, or GHC65 billion, from the debt stock. Additionally, Ghana will save $4.4 billion, or GH¢60 billion, in debt service, providing much-needed financial relief during the IMF Programme.

    The president praised the Ministry of Finance, under the leadership of Mohammed Amin Adam, for their dedication in securing these landmark agreements. He underscored the significance of these achievements in generating the financial flexibility required to restart and finalize stalled projects nationwide.

    “These achievements are unprecedented in the history of country debt restructurings,” President Akufo-Addo stated. “The Minister for Finance and his team at the Ministry of Finance are to be warmly applauded for this historic achievement.”

    With the successful debt restructuring initiatives in place, the government is now well-positioned to focus on revitalising critical infrastructure and development projects that have been stalled due to financial constraints. These projects, which include improvements in healthcare, education, transportation, and other essential sectors, are vital for Ghana’s progress and development.

    The president’s announcement has been met with optimism and renewed hope for Ghana’s economic future. The resumption of stalled projects will not only boost the country’s development efforts but also create jobs and improve the quality of life for Ghanaians.

    Eurobond holders are anticipated to waive approximately $4.7 billion owed to them by the government.

    This forms part of the agreement reached with the bondholders to restructure a $13.1 billion debt.

    The term sheet outlining the Eurobond deal reveals that the bondholders will also contribute a cash flow of $4.4 billion during the period covered by the International Monetary Fund (IMF) program.

    These concessions are deemed necessary under the new deal to restore debt sustainability within the framework of the Fund’s program.

    The government is also proposing two options as part of the deal: the P.A.R and Disco Option. According to the agreement, investors opting for the Disco option will receive three new bond instruments.

    However, the P.A.R option will have a maximum cap of 1.6 billion cedis.

    Furthermore, the agreement will ensure that the government enters into a Non-Financial Terms clause, described as a most favored creditor clause, which will guarantee that other creditors do not receive more favorable net present value terms.

    Bondholders have also agreed to a 37 percent reduction in their interest and maturity obligations.

    Ghana is also mandated to publish certain public debt information semi-annually. Measures have been taken to prevent the courts from invalidating this deal.

    The formal launch of the Eurobond deal is expected to take place in the coming weeks, contingent upon agreement on the definitive documentation.

    The government will seek the necessary approvals and support from the broader bondholder community to successfully finalize this significant transaction.

    The IMF has also given its approval to this deal, allowing the government to proceed with signing the agreement with the creditors once they accept the terms.

    This agreement comes at a time when the IMF board is scheduled to convene on Ghana this Friday for the country’s second review under the fund program.

    The government also believes that this deal will play a significant role in stabilizing the Ghana cedi.

    Over the weekend, Ghana and its international bondholders tentatively agreed to restructure $13 billion of the country’s debts, involving a potential principal reduction of up to 37% and extended maturities.

    Following swiftly on the heels of bilateral debt restructuring, this agreement signifies a rapid restructuring process, viewed positively by analysts for its potential impact on market sentiments.

    Analysts anticipate that it may help mitigate speculative pressure on the cedi in the medium term.

    However, this week is expected to witness further depreciation of the local currency due to sustained corporate demand ahead of the International Monetary Fund (IMF) board meeting scheduled later in the week.

    The Sunyani Area of the Northern Electricity Distribution Company (NEDCo) has launched phase five of its Revenue Mobilization Exercise to recover outstanding debts totaling approximately Gh¢300 million from customers.

    Beginning on Monday, June 24, 2024, two teams of NEDCo officials were sent to Dormaa Municipality and Nkrankwanta in the Dormaa West District to initiate the exercise.

    During a media briefing in Sunyani, Mr. Eugene Odoi Addo, the Sunyani Area Manager of NEDCo, revealed that government agencies and the public collectively owe around Gh¢290 million. Including a station in the Ashanti region under their jurisdiction, the total debt amounts to approximately Gh¢300 million, which he described as excessively high.

    Mr. Addo stated that phase five would also focus heavily on loss control, targeting individuals involved in power theft and unauthorized consumption, with legal action taken against offenders to curb such practices.

    He explained that the objective of this initiative is to reduce loss rates within the operational area. Statistics show that the loss rate has increased from 18-19 percent over the past two years to 26 percent currently.

    Mr. Addo emphasized the urgency of addressing this issue to prevent it from escalating beyond manageable levels.

    He reiterated that the long-term benefits of the revenue mobilization exercise would encourage customers to be more diligent in paying their bills. He urged customers to prioritize timely payments upon receiving their bills to ensure the sustainability of the system.

    He pointed out that technicians and DJs are regarded as professionals at political rallies, while musicians often encounter stigma for their involvement.

    “Perhaps, if the stigmatization stops, we can make songs for political parties. Also, political tensions are high so it’s better to stay neutral. God should select a winner and after the elections, we will all come together to support the person,” he said.
